Job Overview
The Corporate Counsel is accountable for providing expert counsel on a wide array of legal, business and strategic issues directly pertaining to FirstOntario Credit Union. The incumbent will assist with government relations, litigation, contracts, regulatory compliance, and external counsel relations.
Role
- Provide legal services and advice to FirstOntario while ensuring compliance with applicable legislation; provide representation for legal proceedings, agreements, and regulatory compliance matters
- Assist with acquisition opportunities by conducting due diligence, creating sound business cases, negotiating and drafting relevant transaction agreements and completing closing activities
- Assist with the structuring and documentation of financings, investments, new business initiatives and novel products
- Ensure all policies, by-laws and documentation are fully compliant under applicable legislation; stay up to date on new/changing legislation and relay changes to appropriate business partners
- Assist in the implementation, administration and monitoring of legal and regulatory compliance requirements relating to FirstOntario and our members
- Draft, negotiate, and manage all legal and corporate documents including but not limited to all contracts, as well as regulatory and compliance filings and responses
- Advise management on contractual rights and obligations and respond to internal and external inquiries relating to contract issues
- Impact corporate initiatives and projects by keeping inventory of corporate projects, working with the governance team to manage a project up through the Board and completing legal work on strategic initiatives where applicable
- Liaise regularly with department heads and various stakeholders to ensure operational compliance
- Assist in the preparation and review of various business documents and communications, including but not limited to corporate communications, business cases, press releases, advertising, marketing materials and other documents that impact the business
- Participate in organizational negotiation and mediation, as required
- Assist with risk management activities to ensure credit and liability risks are mitigated appropriately
- Provide strategic advice for workouts of both retail and commercial credit files that have progressed to collections
- Manage and maintain contract database for all organizational contracts
- Assist with the management of Government Relations at the Federal, Provincial and Municipal levels
- Advocate for sensible legislative and regulatory change where applicable, and contribute to drafting any related documents
- Attend industry meetings and conferences as a representative of FirstOntario
- Work closely with Corporate Investments on their many initiatives and provide legal services to support their objectives
- Assist in the development and implementation of programs around several strategic initiatives, including a social purpose, strategic plan, and execution of mergers & strategic partnerships with other Credit Unions in the System
- Conduct legal research and prepare reports and presentations
- Perform other duties as required
Required Skills
- Have a Bachelor of Law Degree (LL.B or J.D) and be a member in good standing with the Law Society of Upper Canada; having an MBA or other business degree is considered an asset
- Have strong business acumen and have three (3) or more years of experience as a lawyer practicing corporate and/or commercial law
- Knowledge of and experience with legislation and regulations relating to the financial services industry in Canada including but not limited to the Credit Union and Caisses Populaires Act, 2022
- Have sound experience managing a high performing team, with a focus on people leadership and coaching
- Demonstrate superior written and verbal communication skills with experience drafting high-quality agreements and legal documents
- Be extremely detail-oriented, highly analytical, have good judgment and have sound risk-mitigating skills
- Have strong negotiation skills
- Have the demonstrated ability to adjust to multiple demands and shifting priorities
- Be quick to respond to requests for service from all of your clients
- Inherently demonstrate a high level of integrity and be trustworthy

Position Overview
We are seeking an experienced and highly skilled Corporate Legal Counsel to join our team. This role will focus on securities law, public policy, and regulatory compliance for investment dealers and marketplaces, with a strong emphasis on the fast-evolving cryptocurrency sector.
The ideal candidate will be a strategic thinker with strong legal acumen, able to navigate complex regulations while enabling business growth. You will work closely with our compliance, product, and executive teams to ensure Ndax continues to meet and exceed all legal and regulatory obligations.
Key Responsibilities
- Monitor, interpret, and provide strategic legal guidance on all applicable laws, regulations, and policies affecting Ndax, including but not limited to securities legislation, investment dealer and marketplace regulations, privacy laws, and other relevant compliance frameworks.
- Review, update, and develop company policies to ensure alignment with evolving regulatory requirements.
- Analyze if potential cryptocurrency assets meet the definition of securities and prepare clear, concise legal summaries to inform business decisions.
- Assist the compliance department with escalated client complaints, dispute resolution, and management of legal proceedings.
- Draft, review, and negotiate NDAs and other corporate contracts and service agreements.
- Provide guidance on public policy matters and represent Ndax’s interests in discussions with regulators, industry bodies, and other stakeholders.
- Stay current with emerging developments in cryptocurrency regulation, securities law, and financial services compliance.
Requirements
- Law degree (LL.B. or J.D.) from a recognized institution; active membership in good standing with a Canadian provincial law society.
- Minimum 5 years of experience in securities law, regulatory compliance, or related practice area.
- In-depth knowledge of Canadian securities regulations, including investment dealer and marketplace rules.
- Strong legal drafting, negotiation, and analytical skills.
- Excellent communication skills with the ability to convey complex legal concepts to non-legal stakeholders.
Preferred:
- Experience in the cryptocurrency, fintech, or financial markets sector.

Job DescriptionWhat You’ll Do:
Reporting to the Chief Operating Officer & Chief Financial Officer, you’ll be a key member of the corporate legal team providing practical advice to leadership and internal business partners on a wide range of risks. You will be relied upon to solve complex legal issues and proactively manage risks associated with third-party contracts, compliance, and regulatory requirements.
The core parts of your role will be to:
- Prepare, analyze and review a variety of legal agreements, including NDAs, MSAs, vendor agreements, lease agreements and service contracts, etc., ensuring compliance with legal standards and company policies.
- Negotiate contract terms with partners, vendors and service providers to identify and mitigate potential risks and achieve favourable outcomes, protecting OGC’s interests.
- Liase with cross-functional teams such as vendor management, third party risk management and privacy, to support contract lifecycle management.
- Conduct legal research and prepare summaries or guidance on insurance regulations, licensing, and compliance issues across Canadian jurisdictions that impact OGC, advising on risks and the most appropriate response or action.
- Monitor and maintain knowledge of regulatory requirements related to OGC, such as individual insurance products, group health benefits, employment law, AI, and privacy law and advise on regulatory requirements and developments. Communicate important legal updates and processes across teams in clear and concise language.
- Conduct legal review of internal policies, and business initiatives to ensure regulatory compliance
- Oversee corporate law compliance and governance matters, providing expert legal advice and risk management guidance to senior leadership and the Board of Trustees.
- Work collaboratively with business partners and internal stakeholders to provide practical, risk-based legal advice on a wide range of matters.
- Oversee the legal process, including management of outside counsel as necessary when external legal expertise is required, ensuring high-quality service and cost-effectiveness.
- Contribute to internal knowledge resources and support continuous improvement of legal workflows.
- Manage, coach and develop members of the legal services team.

- A JD or LLB from an accredited law school and a member in good standing with the Law Society of Ontario.
- Minimum 5-10 years’ experience as in-house counsel. Experience in a corporate financial services and/or insurance company would be considered an asset.

- Ability to manage tight deadlines and prioritize work effectively by taking a risk-based approach.

Real Estate

Construction

Power
• Provide general legal support to Equinix's energy organization and its development plans, including review and negotiation of power purchase agreements, substation & transmission agreements and easements, and related access and infrastructure agreements.
Project Management
• Navigate competing workflows, set appropriate priorities with internal and external stakeholders and deliver results within agreed timelines
• Participate in and contribute to global legal initiatives and project working groups to scale and maximize the effectiveness of the Legal department

• Manage external legal counsel when necessary or where local law input is needed to provide legal support for the various activities referred to above

Qualifications

The targeted pay range for this position in the following location is / locations are:

We have a position available within our dynamic and growing firm for a Corporate Law Clerk in our Barrie location, supporting Graham Knight and Pamela Heary.
The ideal candidate will have 3+ years of relevant experience as a Corporate Law Clerk, including experience with respect to the responsibilities outlined below;
Responsibilities of this role include:
- Completing asset and share transactions, including conducting and reviewing corporate searches; attending to security registrations; drafting, reviewing and finalizing agreements and supporting closing documents; attending to closing payouts and reporting.
- Completing corporate reorganizations and restructurings, including drafting rollover and exchange agreements, security documents, share transfer documents, promissory notes and corporate resolutions.
- Managing ongoing corporate maintenance including incorporations, amalgamations, continuances, amendments and dissolutions.
- Completing Federal and Provincial Corporate Filings including knowledge of the Ontario Business Registry.
- Meeting with and interacting with clients and referral sources, placing a high value on client service and relationship building.
- Performing general administrative support related to all files including opening files, preparation of accounts and client billings, processing payments, calendar maintenance and maintaining an active filing system.
- Mentoring and supporting other team members in developing knowledge and skills related to corporate matters.
- An understanding of or ability to complete commercial financing transactions would be an asset.
The successful candidate will have a strong work ethic, strong attention to detail and the ability to assist in resolving complex problems as required. A great attitude and emphasis on client experience is a must. Program specific IT training will be provided through our in-house IT staff, as required, on an ongoing basis.
