How you will contribute
An opportunity exists for an Associate General Counsel, overseeing the region of Canada based in the Toronto office. As Alvarez & Marsal continues to grow in Canada and globally, this is viewed as a critical role in a fast-paced environment where you will have significant responsibilities and frequent interaction with the firm’s regional leadership. Key Responsibilities
- Advise client-facing teams on negotiation of engagement letters and ancillary client related agreements
- Advise and consult with management in relation to key risk management, conflict of interest and policy issues facing the business
- Assist with legal matters relating to the A&M corporate structure, which may include transactions to acquire or establish new geographies and business lines
- Assist with compliance and regulatory matters
- Advise on partner and employment matters
- Manage litigation and document requests
- Assist with drafting and negotiating other commercial contracts, including supplier agreements
- Manage the relationship with external legal advisers
- Report and escalate key matters to the leadership of the firm’s General Counsel Office
Qualifications/Experience
- 10+ years of experience as an attorney, with at least 3+ years in-house experience.
- Juris Doctorate degree from an accredited law school.
- Fluency in spoken and written business English is essential; multi-lingual (French and English) is desired.
- Experience with global organizations and cross-border (US/Canada) dealings is desired.
- US legal background a plus.

Le Vice-Président des Affaires Juridiques et Conseiller Général est un membre clé de l’équipe de direction exécutive, responsable de la supervision des fonctions juridiques, de conformité, d’éthique et de gouvernance à l’échelle mondiale. Ce rôle agit en tant que conseiller stratégique auprès du PDG, guidant les décisions commerciales sous un angle juridique et veillant à ce que les opérations mondiales de Genetec respectent les lois et règlements applicables dans plusieurs juridictions
Votre journée en un coup d'oeil :
Stratégie Juridique et Leadership
- Diriger le développement et la mise en œuvre d’une stratégie juridique mondiale alignée sur les objectifs commerciaux de Genetec.
- Fournir des conseils juridiques proactifs à la direction exécutive et aux unités commerciales sur les questions de droit des sociétés, commercial, confidentialité, propriété intellectuelle, travail et réglementation.
- Servir de secrétaire général, soutenant les fonctions de gouvernance et les réunions du conseil d’administration.
Conformité Mondiale et Gestion des Risques
- Superviser les programmes de conformité de l’entreprise et assurer leur alignement avec les normes internationales, y compris les lois anti-corruption, la protection des données (RGPD, CCPA, etc.) et les lois sur le contrôle des exportations.
- Développer et mettre en œuvre des cadres de gestion des risques à travers les unités commerciales et les régions géographiques.

Gestion des Contrats et Support Commercial
- Superviser les négociations de contrats, y compris les accords clients, les contrats fournisseurs, les licences et les partenariats stratégiques.

- Expérience avérée en tant que cadre juridique dans une organisation mondiale axée sur la technologie (de préférence dans les secteurs du logiciel, de la cybersécurité ou de la sécurité physique).
- Solide compréhension des lois sur la confidentialité, des réglementations commerciales internationales et du droit de la propriété intellectuelle.

Your day at a glance:
Legal Strategy & Leadership
- Lead the development and implementation of a global legal strategy aligned with Genetec’s business objectives.
- Provide proactive legal advice to executive leadership and business units on corporate, commercial, privacy, IP, labor, and regulatory matters.
- Serve as Corporate Secretary, supporting governance functions and Board of Directors meetings.
Global Compliance & Risk Management
- Oversee corporate compliance programs and ensure alignment with international standards, including anti-bribery, data protection (GDPR, CCPA, etc.), and export control laws.
- Develop and implement risk mitigation frameworks across business units and geographic regions.
- Monitor global legal trends and ensure internal policies and procedures are kept current and compliant.
- Define and execute the long-term legal strategy aligned with Genetec’s global business vision and expansion.
- Lead complex negotiations and high-stakes litigation or regulatory matters as needed.
Contract Management & Commercial Support

- Provide legal guidance on product development involving AI, cloud, edge computing, and surveillance technologies.
Corporate Development
- Support M&A activities, joint ventures, and other strategic transactions from a legal standpoint.
- Participate in due diligence, structuring, and integration planning.
Team Leadership & Organizational Development

Your technical expertise:
