Your role:
Drafting and negotiating various transactional financial contracts, such as the ISDA Master Agreement (including VM CSA and IM CSA), the GMRA and the GMSLA;
Provide legal opinions related to the various spheres of law;
Provide recommendations to ensure the development and the protection of the Bank and its subsidiaries worldwide;
Provide legal advice to the Bank’s Financial Markets and Corporate Capital Management (Loans and structured business desks) across a range of debt over-the-counter and centrally cleared, capital market & structured products, covered bonds and securitization vehicles;
Showcase your expertise in the context of special or large-scale projects having an impact on the activities of the Bank and its subsidiaries;
Identify legal situations affecting financial contracts and advise stakeholders accordingly.

As part of the Capital Markets and Treasury Risk Management sector, our team comprises nine lawyers and a paralegal. Operating across Montreal, Toronto, Calgary, New York, Dublin, London, and Hong Kong, we negotiate and manage key transactional financial contracts with the Bank's clients globally.

Prerequisites:

Reporting to the VP Legal & Corporate Affairs, goeasy is seeking a Legal Counsel to provide legal and regulatory advice and guidance to the goeasy team on a variety of matters, including: contract review and contract lifecycle management, contract negotiation and interpretation, and compliance with all applicable laws that impact business operations.
What will you be doing?
- Identifying, addressing, and managing business needs in support of strategic objectives, while providing support and triage of matters to the VP, Legal & Corporate Affairs.
- Leading the legal process and review in contract lifecycle management, and collaborating with cross-functional teams throughout the vendor lifecycle - including vendor selection, onboarding, contract review and approval while recommending process enhancements.

As Ontario Transit Group Constructor GP, we have mobilized our design and construction crews, with major works. The South Civil contract is anticipated to be completed in 2030.
The project will strengthen Ontario’s economy by supporting an estimated 1,500 jobs at the peak of construction.

- A six-kilometer tunnel and associated tunnelling works from Exhibition to Don Yard portal (west of the Don River).

- One above-ground station to be integrated with the existing GO Transit Exhibition Station.

- 5-7 years of experience in litigation or corporate counsel roles
- Candidates must be licensed to practice law in Ontario
- Experience in construction, engineering, or related industries is a significant asset

Job Description Summary
Reporting to the Chief Legal & Risk Officer (CLRO), the Legal Counsel Technology will play an important role supporting the Legal, Human Resources (HR) and Security & GRC (Governance, Risk & Compliance) functions on legal and compliance matters impacting FISPAN.
The Legal Counsel Technology will be the second in-house lawyer to join the FISPAN Legal Department, and will closely collaborate with and help manage the 6-member Security & GRC team, in addition to assisting the CLRO in advising FISPANs C-Suite and Board of Directors and managing external legal counsel.
The role requires experience in tech-related transactions, including SaaS contracting. We seek candidates with strong drafting and negotiation skills, a business-oriented approach, and an ability to assess risk. Our ideal candidate brings exceptional communication and interpersonal skills with ability to distill complex legal concepts into clear, actionable advice for non-legal stakeholders across teams and disciplines. A collaborative and team-oriented mindset, with the ability to build relationships across departments, is a must. Experience in in-house settings, and experience working with banks and financial institutions, is preferred but not mandatory.
The position offers some flexibility to work remotely, a competitive compensation package, and the opportunity to lead impactful projects within a dynamic team.
Key Responsibilities:
- Contract Drafting, Negotiation and Compliance: Draft, review, and negotiate a wide variety of commercial contracts, including SaaS and services agreements and statements of work and technology vendor contracts. Support the creation and maintenance of playbooks to streamline contract review and negotiation processes. Assist in driving the Companys contractual compliance framework and initiatives.
- Privacy and Data Protection: Advise on privacy laws and data protection regulations (e.g., GDPR, CCPA, PIPEDA) applicable to our business, and related regulatory and contractual compliance needs. Provide guidance and support on FISPAN data governance policies and processes, including in relation to cybersecurity incident response.
- Intellectual Property: Assist with IP matters, including trademark and patent prosecution, in collaboration in collaboration with external IP counsel and FISPANs product, engineering and marketing teams.
- Regulatory and Compliance Matters: Advise on regulatory and compliance issues related to payments, financial services, outsourcing, Artificial Intelligence, and open banking, and the FinTech and SaaS industries more broadly.
- Corporate Governance and Transactions: Support corporate governance matters, including board governance, shareholder relations, and corporate filings. Assist with securities-related matters including support for financing rounds, acquisitions, and other corporate transactions, management of FISPANs cap table and administration of FISPAN stock option plan. Support the Companys plans for expansion to Europe and Asia.
- Risk and Vendor Management: Support the enterprise risk management process, identifying legal and other risks and assisting with the development of mitigation strategies, as well as vendor management program and policies. Familiarity with ISO, SOC2 and/or NIST frameworks is a plus.
- Cross-Functional Collaboration: Partner with product, engineering, marketing and sales teams to ensure that legal issues are proactively addressed throughout the product lifecycle. Provide practical, business-oriented legal advice to support strategic initiatives and day-to-day operations.
- Legal Research and Advice: Conduct legal research on various topics, including emerging trends in contracts, IP and payments law. Provide timely and actionable legal advice to senior management and the business teams.
- Employment / HR: Provide support to the CLRO and Head of HR on employment-related legal matters, including assisting in the development and maintenance of employment agreements, policies and procedures, and management of people issues.
- Litigation and Dispute Resolution: Assist with the management of any legal disputes or litigation involving the company, including working with external counsel as necessary.
Qualifications:
- Education: Law degree (LL.B. or J.D.) from a recognized Canadian university.
- Licensing: Active membership in good standing with the Law Society of Ontario or the Law Society of British Columbia. A U.S. state bar membership is a plus.
- Experience: 3-6 years of experience in a law firm or in-house legal role, with a focus on technology law and demonstrated experience negotiating and managing complex contracts. Payments or financial services industry experience preferred.

Compensation Package

Job Description
As Legal Counsel, you will be responsible for providing effective legal advice, leadership, oversight, and risk mitigation relating to all legal matters involving the company, with primary focus on corporate and commercial matters.
Roles & Responsibilities
- Reporting to, and working in coordination with, the Chief Legal Officer and internal subject matter experts relating to the ongoing conduct of legal matters involving the company.
- Providing internal legal advice, direction and legal negotiation on commercial matters and disputes.
- Development and negotiation of commercial agreements and documentation.
- Coordination on the design and oversight of the company’s policies and position on legal matters.
- Legal advice and involvement in negotiation and documentation of mergers and acquisitions, commercial opportunities, financing and borrowing and real estate matters.
- Structuring and administration of corporate matters for the company, including corporate finance and shareholder matters.
- Protect the company against legal risks and violations.
- Examine the legal issues related to new products and services.
- Coordination with external counsel on the management of legal matters of every nature.
- Guide management on regulatory and compliance issues to ensure compliance with legal regulations.
Skills, Knowledge, & Abilities
- Demonstrated expertise in managing contracts, negotiating terms, and providing strategic legal advice
- Confident communication skills with the ability to explain legal concepts clearly and concisely
- A collaborative approach and strong problem-solving abilities in a fast-paced business environment, with familiarity and skill in coordination with internal and external counsel on legal matters of every nature
- Although the primary focus of the position will relate to corporate and commercial matters, knowledge and experience in litigation, regulatory, employment and other practice areas of focus is beneficial
Education & Experience
- A Bachelor of Law or Juris Doctor degree, LL.B, J.D., with active membership in good standing with the Law Society of Manitoba
- 1 - 5 years of relevant experience practicing law in private practice or as in-house counsel for a company.
