Start Date : Immediately
Work Hours: 8:30 a.m. to 4:30 p.m. Monday to Friday
Key functions of the job would include general administrative support for 2-4 lawyers. Daily duties typically include, but are not limited to, the following:
answering telephone inquiries
communicating with new and existing clients by telephone, email, and in person
opening, organizing, and maintaining legal files
drafting and sending correspondence to clients and lawyers, courts (Clerks and Judiciary), Crown Prosecutors and any other stakeholders associated with our files
maintaining lawyer calendars and diarizing dates
perform data entry tasks and manage electronic filing systems
Ideal candidates will have a minimum 2 years experience providing administrative support within a law firm environment, preferably a criminal firm, along with:
excellent written and verbal communication and interpersonal skills
a high level of attention to detail and organization
strong Microsoft Office skills (Excel, Microsoft Outlook, Microsoft Calendar)
ability to handle highly confidential material
ability to operate in a high volume, fast paced environment
commitment to punctuality and a positive can-do attitude
Experience in bookkeeping, payroll, accounting software such as PClaw or CosmoLex and online banking is considered an asset.
Note: A paralegal certificate or degree in legal studies is preferred but not required.

**Key Responsibilities of the Law Clerk include:**
+ **Corporate Secretarial Support:**
+ Manage and update corporate minute books, annual corporate/business name filings, and license renewals for FCCC and its related entities.
+ Maintain accurate officer and director information.
+ Assist the VP-Legal with the organization of FCCC's annual Board of Directors and Audit Committee meetings, including sending notices, coordinating financial statements from Dearborn, and distributing meeting materials to Board members and guests.
+ Prepare routine corporate resolutions and consents.
+ **Dealer Loan Documentation:**
+ Coordinate with external counsel to prepare documentation for capital loans and revolving lines of credit to dealers.
+ Support Dearborn with mortgage and construction loan documentation for dealers.
+ **Corporate, Borrowing, and Tax Project Assistance:**
+ Provide support to FMCC Legal, Treasury, and the Canadian Tax Manager on various corporate, borrowing, and tax initiatives.
+ Serve as a key contact for external counsel and FMCC regarding miscellaneous Canadian corporate matters.
+ **Canadian Funding Transaction Support:**
+ Assist the VP-Legal with Canadian funding transactions, including reviewing documents.
+ Prepare and obtain necessary signatures for certificates, resolutions, and other pre-closing/closing documents.
+ Support FMCC Legal and Treasury in reviewing documents for quarterly and annual corporate filings of existing Trusts.
+ **Marketing Material Review:**
+ Act as the primary contact for the Marketing team to conduct initial legal review of various materials (e.g., website content, dealer bulletins, operations & marketing letters, contracts, forms, customer communications).
+ **Procedure Review (Customer Service Centre):**
+ Serve as the main contact for the Customer Service Centre (Edmonton) to conduct initial legal review of process-related procedures.
+ **Dealer Credit & Field Support Review:**
+ Act as the primary contact for the Dealer Credit and Field Support group to review dealer covenant violation letters, alternate financing requirement letters, commitment letters for dealer financing, and other financing-related correspondence requiring legal review.
+ **Originations Support:**
+ Serve as the main contact for the Originations team, providing answers to general questions regarding contract versions in use and other origination-related inquiries.
+ **Legal Department Administration & Project Support:**
+ Provide general administrative support to the VP-Legal for day-to-day legal department matters.
+ Assist with various Enterprise Project Management (EPM) projects as required.
Basic Qualifications:
+ **Education:** Law Clerk Diploma or equivalent.
+ 3+ years' Corporate or Litigation Law Clerk experience (in a private practice or in-house)
+ A solid understanding of corporate governance principles, corporate finance, and commercial lending documentation.
+ Advanced skills in Microsoft Office Suite (Word, Excel, Outlook), legal practice management software, and legal research platforms.
Preferred Qualifications:
+ Proven ability to efficiently navigate legal databases and critically assess legal issues.
+ Demonstrated ability to manage multiple priorities, meet deadlines, and maintain meticulous records.
+ Familiarity with federal and provincial corporate statutes and procedures.
+ Familiarity with corporate secretarial practices and minute book management.
+ Experience with financial services legal documentation is a significant asset.
