Key Responsibilities:
  • Please note: This role is an on-site position at our Toronto HQ
Technology & Commercial Contracting
  • Draft, negotiate, and review a wide variety of commercial and technology contracts, including NDAs, software licenses, supplier/vendor agreements, and customer agreements
  • Support Kepler's intellectual property strategy development
  • Serve as the legal point of contact for engineering, project management, business development, regulatory, and supply chain teams for contracting and operational legal issues
Government Contracting & Proposals
  • Support negotiations and compliance for government contracts and funding agreements in Canada (ISED, CSA), the United States (NASA, SDA), and Europe (ESA)
  • Review and advise on flow down requirements, IP provisions, export controls, and other government terms
  • Provide legal support on RFP responses, grant applications, and strategic proposals, working closely with business development and program teams
Trade Compliance
  • Develop, implement, and manage trade compliance programs in accordance with Canadian and international export control laws (e.g., CGP, ITAR, EAR)
  • Advise on the classification of goods, software, and technologies for export and import purposes
  • Prepare and submit export/import permit applications and license requests (Global Affairs Canada, DDTC, BIS, etc.)
  • Conduct compliance risk assessments and implement controls to address findings
  • Lead internal audits and respond to government inquiries, inspections, or investigations
Legal Advisory
  • Provide strategic legal counsel to internal teams on matters involving international trade, foreign investment regulations (e.g., Investment Canada Act), and sanctions regimes
  • Negotiate and review contracts with compliance obligations
  • Monitor and interpret regulatory changes affecting Kepler's business
  • Advise on legal matters across a broad range of corporate initiatives, coordinating with external counsel as needed
  • Support Kepler's internal compliance programs, including those related to privacy, data governance, and information security
Controlled Goods Program (CGP)
  • Serve as Kepler's Designated Official (DO) under the CGP
  • Manage employee screenings, training, and security plans required under the CGP framework
  • Ensure secure handling, storage, and access protocols for controlled goods
  • Maintain up-to-date records and documentation for audits and inspections
Training & Policy Development
  • Develop and deliver training to internal stakeholders on export compliance, CGP responsibilities, and related policies
  • Draft and maintain internal procedures, manuals, and compliance protocols
  • Contribute to team knowledge-sharing and build scalable legal operations and document templates
Required Skills & Qualifications:
  • JD or LLB degree with license to practice law in Ontario (or eligibility to be licensed)
  • 5+ years of relevant experience in related legal / compliance functions
  • Strong understanding of cross-border technology transfer and global supply chain risks
  • Exceptional judgment and integrity
  • Strong negotiator and communicator, with the ability to articulate complex concepts to diverse audiences and effectively engage with stakeholders at various levels
  • Willingness to work on projects of all types and resourcefulness to bring legal expertise on a variety of topics
  • Demonstrated ability to independently draft and negotiate a range of commercial and technology contracts
Bonus Points:
  • Expertise in export controls and international trade law

Role Overview

The Senior Vice President, Business & Legal Affairs will play a key leadership role in driving strategic business affairs, global partnerships, and co-production activity. This executive will lead negotiations, structure complex financing deals, and oversee international rights and legal frameworks that support the packaging and delivery of major scripted content across borders.

This is a hybrid role that blends the acumen of a business-minded producer with deep legal and financial fluency. The successful candidate will have proven experience working with global streamers, major broadcasters, funders, and co-production partners across multiple jurisdictions.

Key Responsibilities



Strategic Leadership

  • Lead the companys business affairs strategy across development, production, and post.
  • Serve as the senior liaison with key external stakeholders including broadcasters, legal counsel, funders, and distributors.

  • Oversee international and interprovincial co-productions, including project structuring and compliance.

Votre expertise technique :

  • Doctorat en droit (JD) ou diplôme juridique équivalent d’un établissement accrédité; membre en règle d’un barreau.
  • Minimum de 15 ans d’expérience juridique avec une exposition significative au droit des sociétés international et à la conformité.
  • Expérience avérée en tant que cadre juridique dans une organisation mondiale axée sur la technologie (de préférence dans les secteurs du logiciel, de la cybersécurité ou de la sécurité physique).
  • Solide compréhension des lois sur la confidentialité, des réglementations commerciales internationales et du droit de la propriété intellectuelle.

Your team’s dynamic:

The Vice-President of Legal Affairs and General Counsel is a key member of the executive leadership team, responsible for overseeing the global legal, compliance, ethics, and governance functions. This role acts as a strategic advisor reporting to the CEO, guiding business decisions with a legal lens and ensuring Genetec’s global operations adhere to applicable laws and regulations across multiple jurisdictions.

Your day at a glance:

Legal Strategy & Leadership

  • Lead the development and implementation of a global legal strategy aligned with Genetec’s business objectives.
  • Provide proactive legal advice to executive leadership and business units on corporate, commercial, privacy, IP, labor, and regulatory matters.
  • Serve as Corporate Secretary, supporting governance functions and Board of Directors meetings.

Global Compliance & Risk Management

  • Oversee corporate compliance programs and ensure alignment with international standards, including anti-bribery, data protection (GDPR, CCPA, etc.), and export control laws.
  • Develop and implement risk mitigation frameworks across business units and geographic regions.
  • Monitor global legal trends and ensure internal policies and procedures are kept current and compliant.
  • Define and execute the long-term legal strategy aligned with Genetec’s global business vision and expansion.
  • Lead complex negotiations and high-stakes litigation or regulatory matters as needed.

Contract Management & Commercial Support

  • Supervise contract negotiations, including customer agreements, vendor contracts, licensing, and strategic partnerships.
  • Lead a global team of in-house counsel, ensuring consistency in legal practices across regions (North America, LATAM, EMEA, APAC).
  • Collaborate with internal audit, security, and IT to assess and manage enterprise risk, including cyber and data risks.

Intellectual Property & Data Privacy

  • Protect and enforce Genetec’s intellectual property rights globally.
  • Oversee global privacy and data protection programs, including privacy-by-design, audits, and incident response.
  • Strategically manage Genetec’s IP portfolio and technology licensing matters across jurisdictions.
  • Provide legal guidance on product development involving AI, cloud, edge computing, and surveillance technologies.

Corporate Development

  • Support M&A activities, joint ventures, and other strategic transactions from a legal standpoint.
  • Participate in due diligence, structuring, and integration planning.

Team Leadership & Organizational Development

  • Lead a high-performing global legal team, fostering a culture of excellence, responsiveness, and business partnership.
  • Align legal resources with strategic priorities across business units and geographies.
  • Develop internal frameworks for training, policy updates, and legal education.

Your technical expertise:

  • Juris Doctor (JD) or equivalent legal degree from an accredited institution; member in good standing of a bar association.
  • Minimum 15 years of legal experience with significant exposure to international corporate law and compliance.
  • Proven track record as a legal executive in a global, technology-driven organization (preferably in software, cybersecurity, or physical security sectors).
  • Strong understanding of privacy laws, international trade regulations, and IP law.
  • Experience managing global legal teams and operating across multiple jurisdictions.
  • Bilingualism (English and French).
