**The Opportunity**
+ Interactions with multiple businesses (including Pharma, Pharma Technical (PT), PD, IT, Procurement and to a lesser extent Diagnostics, Diabetes Care) for the purposes of providing legal advice and coaching across a diverse range of issues. Counsel business on appropriate risk management and mitigation strategies, as well as opportunity acceleration. Coordinate with global and counterpart affiliate colleagues to facilitate the same.

**Who you are**
+ You hold a Master's Degree (Juris Doctorate / LLB) and 4+ years experience in a specific Discipline : Licensed to practice as a solicitor / barrister in a jurisdiction in Canada.
+ You have experience working in Life Science, ideally in a matrix organization as well as strong demonstrated success in building and cultivating collaborative and productive relationships with senior stakeholders.
+ You are collaborative with both legal & compliance colleagues as well as business partners; solutions orientation with sound ability to balance risk and opportunity.
+ You are open-minded and inclusive, generously sharing ideas and knowledge, while being receptive to ideas and feedback from others.
+ You demonstrate familiarity with one or more of health, regulatory, privacy and contract law are preferred.

Job Description Summary


Reporting to the Chief Legal & Risk Officer (CLRO), the Legal Counsel Technology will play an important role supporting the Legal, Human Resources (HR) and Security & GRC (Governance, Risk & Compliance) functions on legal and compliance matters impacting FISPAN, and collaborating with various teams at FISPAN including Product and Engineering.


The Legal Counsel Technology will be the second in-house lawyer to join the FISPAN Legal Department, and will closely collaborate with and help manage the 6-member Security & GRC team, in addition to assisting the CLRO in advising FISPANs C-Suite and Board of Directors and managing external legal counsel.


The candidate must have a strong background in technology-related transactions, including direct experience in SaaS contract strategy and negotiation, and experience in in-house settings is mandatory with limited exceptions.

Candidates with experience in the following areas will also be viewed positively while not mandatory, such experience is a major plus:


  • Data and Artificial Intelligence (AI) governance, including in relation to privacy (e.g, GDPR; CCPA); at a minimum, the candidate must have familiarity with the foregoing in the contracts or compliance context.


  • Experience with legal operations / technology, including helping establish and scale legal teams and processes (e.g., legal intake), procure legal ops tools (including AI-powered), and drive metrics and KPIs to assess and improve legal team performance and customer satisfaction.


  • Financial industry experience, ideally working with financial institutions as customers or representing them in contracts matters, and/or experience with SaaS platforms for payments and banking.


We seek candidates with strong drafting and negotiation skills, a business-oriented approach, and an ability to assess risk. Our ideal candidate brings exceptional communication and interpersonal skills with ability to distill complex legal concepts into clear, actionable advice for non-legal stakeholders across teams and disciplines. Key Responsibilities:


  • Contract Drafting, Negotiation and Compliance: Draft, review, and negotiate SaaS and technology services agreements and SOWs, with financial institutions as the customers. Support the creation and maintenance of contract forms and playbooks to streamline contract review and negotiation processes. Assist in driving the Companys contractual compliance framework and initiatives.


  • Data Governance; Privacy and Data Protection: Provide guidance and support on FISPAN data governance policies and processes, including in relation to bank partner contract compliance and related data policies (e.g., use of AI products and services). Assist with the companys information security and cybersecurity incident response framework and policies, and advise on privacy laws and data protection regulations (e.g., GDPR, CCPA, PIPEDA) applicable to our business, and related regulatory and contractual compliance needs.


  • Risk and Vendor Management: Support the enterprise risk management process, identifying legal and other risks and assisting with the development of mitigation strategies, as well as vendor management program and policies. Familiarity with ISO, SOC2 and/or NIST frameworks is a plus.


  • Regulatory and Compliance Matters; Legal Research: Advise on regulatory and compliance issues related to payments, financial services, outsourcing, AI, and open banking, and the FinTech and SaaS industries more broadly. Conduct legal research on various topics, including emerging trends in contracts, IP and payments law. Provide timely and actionable legal advice to senior management and the business teams.


  • Corporate Governance and Transactions: Support corporate governance matters, including board governance, shareholder relations, and corporate filings. Assist with securities-related matters including support for financing rounds, acquisitions, and other corporate transactions, management of FISPANs cap table and administration of FISPAN stock option plan. Support the Companys plans for expansion to Europe and Asia.


  • Intellectual Property: Assist with IP matters, including trademark and patent prosecution, in collaboration in collaboration with external IP counsel and FISPANs product, engineering and marketing teams. Direct experience in IP prosecution is not mandatory, but an understanding of IP licensing concepts applicable to SaaS contracting is a must.


  • Cross-Functional Collaboration: Partner with product, engineering, marketing and sales teams to ensure that legal issues are proactively addressed throughout the product lifecycle. Provide practical, business-oriented legal advice to support strategic initiatives and day-to-day operations.


  • Employment / HR: Provide support to the CLRO and Head of HR on employment-related legal matters, including assisting in the development and maintenance of employment agreements, policies and procedures, and management of people issues.


  • Litigation and Dispute Resolution: Assist with the management of any legal disputes or litigation involving the company, including working with external counsel as necessary.



Qualifications:


  • Education: Law degree (LL.B.) from a recognized Canadian university. Candidates with US or UK law degrees, coupled with a license to practice in the US or Canada, will also be considered.


  • Licensing: Active membership in good standing with the Law Society of Ontario or the Law Society of British Columbia. A U.S. state bar membership or license to practice in England and Wales is a plus.


  • Experience: 4-8 years of experience including in-house roles, with a focus on technology law and demonstrated experience negotiating and managing complex SaaS contracts. Payments or financial services industry experience preferred.

Compensation Package


We offer a competitive salary and bonus structure based on comparable market data for similar jobs and job levels from companies of similar employee size, revenue and location. Reporting to the General Counsel, the selected candidate will be responsible for providing legal advice and support to all areas of the organization on a broad range of issues, as well as instructing, overseeing and providing support to outside counsel on varied contractual and other legal matters.

The primary responsibilities will include general corporate work, negotiating, reviewing and drafting contracts such as NDAs, Master Service Agreements, Terms and Conditions, MOUs, Consulting Services Agreements, etc.

This role will support business groups in structuring legal relationships with suppliers, customers, regulators and others. 
The selected candidate will be responsible for providing legal advice to all areas of the organization on a broad range of issues, as well as instructing, overseeing and providing support to outside counsel on complex contractual and legal matters. In addition, you will handle various legal issues associated with international transactions and governance topics related to Powertech and our US subsidiary. A strong background in commercial transactions, with demonstrated experience drafting and negotiating contracts of all kinds,as well as managing the process is essential. 

Powertech is in the early stages of making the transition to a highly automated system of document creation and management. This transition incorporates the use of AI tools. The successful candidate is expected to be comfortable with the adoption of these technologies into their practice and familiarity in doing so would be considered an asset.

Qualifications
• Candidates must hold a law degree, with strong preference given to graduates of Canadian law schools. Degrees from select U.S. institutions may also be considered. Eligibility to practice law in British Columbia is required.
Candidates must be,or be eligible to become, a member in good standing with the Law Society of British Columbia.

• Current membership, or eligibility for membership, in the Law Society of British Columbia is required, plus a minimum of five years of post-call experience gained either in-house or at a law firm.
- knowledge and experience associated with legal issues related to the provision of goods and services;
- knowledge and experience associated with cross-border transactions;
- knowledge and experience in procurement law, with an understanding of procurement rules applicable to the public sector being an asset;

- strong written and verbal communication skills and proven ability to articulate and present legal arguments to senior business stakeholders;

Reporting to the VP Legal & Corporate Affairs, goeasy is seeking a Legal Counsel to provide legal and regulatory advice and guidance to the goeasy team on a variety of matters, including: contract review and contract lifecycle management, contract negotiation and interpretation, and compliance with all applicable laws that impact business operations.

OVERVIEW

Under the supervision of the Executive Director, the incumbent is responsible for providing legal services and consultation to Society staff on the application and interpretation of the CYFSA and all other relevant legislation.


QUALIFICATIONS:

  • Post-graduate degree in Law {LLB} or Juris Doctor (JD) and a member in good standing with the Law Society of Upper Canada.
  • Minimum of three (3) years practice experience in child welfare and family law, including trial experience. Supervisory experience an asset.


SKILLS, KNOWLEDGE, & ABILITIES:

  • Proven knowledge of First Nation communities standards legislation, regulations, and Ministry standards (e.g. the CYFSA, the Family Law Rules, Ontario Courts of Justice Act) and other relevant federal and provincial legislation.
  • Good understanding of the agency's values, service philosophy and objectives.
  • Knowledge of social work theories, principles, and practices.
  • Clinical knowledge of child maltreatment, child development, attachment and separation, and family dynamics.
  • Solid leadership skills and highly developed organizational, research, negotiation, critical thinking, analytical, and decision making skills.
  • Ability to mediate and negotiate effectively from an interest-based principled perspective.
  • Outstanding litigation skills and experience handling consent and litigation matters.
  • Demonstrated problem-solving, planning, priority-setting, and conflict resolution skills.
  • Demonstrated presentation skills to represent the society in the community and legal proceedings.
  • Demonstrated knowledge of adult learning principles and skill in providing training.
  • Demonstrated ability to work in a fast paced work environment and to deal with stressful situations.
  • Demonstrated ability to work with a vulnerable population which includes working with clients who are dealing with mental health, addiction and poverty issues.
  • Knowledge and proficient competence of computer software (e.g. Microsoft Office -Excel, Word and Frontline and Penlieu).


WORK ENVIRONMENT:

  • Given the traditional practices of the Anishinabek, from time-to-time exposure to wood smoke and the burning of sacred medicines, including tobacco, sweet grass, sage, or cedar, may occur within the work setting.

Job Description

As a trusted partner to internal stakeholders, including senior management, Talent & Culture, Product & Technology, Security, and Information Technology teams at VOSKER:

  • You will ensure compliance with labor law obligations, participate in drafting and updating internal policies, and handle employment-related matters;
  • You will collaborate with internal teams to ensure compliance with legal requirements regarding personal data protection;
  • You will oversee compliance with regulatory requirements for VOSKER products across all international markets, including regulatory monitoring and follow-up on certifications and legal obligations applicable in each territory;
  • You will manage VOSKER’s intellectual property portfolio, including protection strategy, filing, and international monitoring;
  • You will draft, review, and negotiate a wide variety of commercial contracts and other legal documents, particularly in information technology, strategic partnerships, and service delivery;
  • You will define and implement cross-departmental processes to ensure effective contract management and improved efficiency within the legal department; and
  • You will contribute to training and educating colleagues across various departments on legal risks and opportunities.
Qualifications

  • Bachelor’s degree in Law and admission to the Quebec Bar (or equivalent);
  • 1–3 years of experience in commercial law;
  • Experience in privacy law is an asset;
  • Strong teamwork skills;
  • Autonomy, resourcefulness, and organizational skills;
  • Demonstrated rigor, commitment, curiosity, and proactivity;
  • Ability to work under high pressure and make critical decisions;
  • Bilingual in English and French (written/spoken) due to frequent communications outside Quebec;

Responsibilities


Regulatory Affairs

  • Monitor securities, tax, and pension regulatory developments and assess their impact on member firms and their clients.
  • Collaborate with the General Counsel and committees to formulate responses to regulatory consultations.

Compliance Support

  • Act as a resource to legal and compliance professionals at member firms, providing regulatory updates and insights on best practices.
  • Build and maintain relationships with external legal and accounting professionals to support compliance initiatives.
  • Support the delivery of compliance programming, including seminars, information sessions, and regular bulletins.
  • Coordinate and support various member committees and working groups, including setting agendas and sourcing speakers.

Advocacy & Government Relations

  • Engage with regulators and government stakeholders on industry-related regulatory issues.
  • Facilitate member input to develop advocacy positions on key legislative and regulatory initiatives.
  • Draft or contribute to written submissions and policy responses on behalf of the association.

Pension and Retirement Regulation

  • Track changes in pension and retirement legislation and contribute to strategic responses and advocacy planning.

General Association Support

  • Support the team on association-wide initiatives, including events and communications, as needed.


Requirements


  • A law degree from an accredited Canadian university.
  • 5-10 years of legal experience, ideally within the investment management sector or a relevant regulatory/legal environment.
  • Strong understanding of the Canadian capital markets regulatory framework.
  • Exceptional writing, research, and analytical skills.
  • Proven ability to build relationships with internal and external stakeholders.
  • A collaborative team player with the flexibility to adapt to changing priorities and workstreams.
  • Bilingualism (English/French) is an asset but not required.
