Reporting to the VP, General Counsel & Corporate Secretary, The Globe and Mail is seeking a collaborative and business-minded legal counsel to join a tight-knit and supportive team.

KEY RESPONSIBILITIES:
Commercial:
- Draft, review, and negotiate a range of commercial agreements including technology, sponsorship, advertising and licensing contracts.
- Build strong relationships with internal clients to proactively identify and address legal risks.
- Collaborate with business units to understand operational needs and tailor agreements accordingly.
- Promote consistency and clarity in contract terms across the organization
- Advise on compliance matters and stay current on regulatory changes impacting the business. Collaborate with cross-functional teams on compliance programs and help drive continuous improvement in such programs.
Litigation Management:
- Lead and coordinate litigation and dispute resolution matters, including defamation matters and commercial disputes.
- Partner with external counsel and internal stakeholders to develop effective litigation strategies.
- Foster open communication across departments to ensure alignment and preparedness.
QUALIFICATIONS:
You should bring the following characteristics and experiences:
- Integrity and a strong work ethic.
- Lawyer in good standing with the Law Society of Ontario with at least 5 years post-call experience preferably from both a major law firm and as in-house counsel.
- Strong business acumen, negotiation and advocacy skills.
- Excellent analytical and communication skills and the ability to pragmatically identify and manage legal risk.
- Experience in litigation and commercial contract law.

About the Role
We are seeking a detail-oriented and motivated Corporate Legal Assistant to join our team. This role involves supporting our corporate lawyers by preparing, filing, and maintaining legal documents, managing corporate records, and assisting with corporate transactions. The ideal candidate will be experienced, highly organized, and comfortable working both independently and collaboratively in a fast-paced environment.
Key Responsibilities
- Prepare and file documents for Alberta and federal incorporations.
- Assist with amendment, continuances, amalgamations, dissolutions, and revivals.
- Handle extra-provincial registrations and renewals across Canada.
- Prepare business name and partnership registrations.
- Maintain and update corporate records and minute books, both physical and digital.
- Prepare annual returns, resolutions, and corporate governance/compliance documents.
- Draft resolutions, share certificates, share transfers, registers, ledgers, and related documents.
- Conduct due diligence, corporate searches (CORES), and NUANS name searches.
- Assist lawyers with corporate transactions such as asset/share purchases and reorganizations.
- Liaise with clients, government agencies (e.g., Alberta Corporate Registry), and other professionals.
- Maintain accurate and timely corporate databases.
Require Skills & Qualifications
- Minimum 1 year of relevant experience as a corporate paralegal/legal assistant in Alberta.
- Proficiency in Microsoft Office (Word, Excel, Outlook).
- Typing speed of at least 45 WPM.
- Exceptional attention to detail and organizational skills.
- Strong written and verbal communication abilities.
- Ability to manager multiple deadlines in a fast-paced environment.
