**Your role and responsibilities**
In Canada, the Legal & Regulatory Affairs team is based in Markham, Ontario, at the IBM Canada Software Lab and has professionals located in various parts of the country.
The team is comprised of high-performing and independent do-ers, and also one other's best collaborators, who work together to efficiently provide high value legal support in a number of core areas including information technology, general commercial, employment, intellectual property, privacy and data security.
We are looking to add to our diverse high energy team a Senior Attorney experienced in negotiating complex transactions.
The successful candidate will handle supporting the IBM business in Canada in the drafting, review and negotiation of complex customer contracts across all areas of IBM's products and services. You are experienced in advising executives on practical risk and litigation strategies in a fast-paced environment on various legal matters. This could include reviewing, interpreting, and providing advice on federal, provincial and local laws, regulatory matters, supplier contracts, IBM policies and practices, business conduct and ethics.
*** This role will involve supporting clients across Canada; therefore, the candidate must be bilingual (i.e. both fully fluent in French and English). ***
**Required technical and professional expertise**
* Bilingual English and French (verbal and written) are mandatory.
* Qualified to practice law in Quebec, Ontario or another common law province.
* At least 5 years of experience in Information Technology Law in private practice or multinational company.
* Proven experience with the drafting, review and negotiation of complex customer technology contracts for products and services.
* Proven ability to provide independent advice to senior-level management on complex matters within a tight timeline.
* Excellent communication skills.
* Fluent in Microsoft Word (i.e., able to execute contract document drafting and revisions).
**Preferred technical and professional experience**
* Experience working within IT firms selling and/or procuring IT products and services.
* Experience in privacy, data security and related legal matters.
* Capability in Microsoft Office tools, including Excel and PowerPoint.
* Solid organization skills.
* Qualified to practice civil law in the province of Quebec.

**How you will make an impact:**
+ Partner with our Americas Sales team to meet revenue targets while managing corporate risk, which includes training Sales on relevant legal topics (e.g., negotiation efficiencies, corporate risk tolerance and other contracting positions, etc.), negotiating and closing complex technology, support and professional services agreements, and other agreements related to our business in a strategic, practical and timely manner
+ Collaborate with the legal team and key stakeholders across the organization to build efficiencies and processes into the customer contracting lifecycle to enable scalability (e.g., playbooks, contract standardization, and CMS projects)
+ Efficiently manage a large volume and variety of transactions and independently prioritize and manage projects effectively

+ Develop a comprehensive understanding of Entrust's technology and business practices to appropriately quantify risk and educate internal stakeholders in a business-friendly manner

**Qualifications:**
**Basic Qualifications**
+ JD (or equivalent) from an accredited law school and authorized and licensed to practice law in at least one jurisdiction (including the jurisdiction from which you are working from)
+ Must be able to lawfully work within the jurisdiction in which you are residing and have unrestricted work authorization
+ 4+ years of relevant, post-law school experience (at least 2 years in an in-house corporate environment preferred)
+ Strong skills in interpreting, drafting, and negotiating sophisticated technology contracts (including agreements for hardware, software, managed and hosted services, cloud services/aaS technologies), providing practical and business-oriented advice and with an ability to think strategically and present alternative solutions
+ Experience supporting Sales, both direct and indirect models, including negotiating managed service, OEM, system integrator agreements
+ A solid understanding of data privacy and information security contractual issues
+ Ability to travel as necessary (estimated at 10% or less)

The anticipated starting base pay for this position is: $149,504-$219,272 per year (in the primary posting location). Actual compensation will be determined based on geographic location, education, skills and experience. This position is also eligible for the company's discretionary annual incentive plan.
